These Terms of Service (“Terms”) govern your access to and use of the Deksie platform operated by Ctrl Zed LLP. By accessing or using Deksie, you agree to be bound by these Terms. If you do not agree, do not use the platform.
1. Definitions
- “Platform” refers to the Deksie web application, APIs, and all related services provided by Ctrl Zed LLP.
- “Agency” refers to the organisation that subscribes to Deksie and manages its team members on the platform.
- “User” refers to any individual who accesses the platform, including agency owners, team members, and invited collaborators.
- “Content” refers to all data, files, documents, communications, and materials created, uploaded, or stored on the platform by Users.
2. Eligibility
You must be at least eighteen (18) years of age and capable of entering into a legally binding agreement to use Deksie. By registering an account, you represent that you meet these requirements. If you are using Deksie on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Account Registration and Security
To use Deksie, you must create an account with accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Notifying us immediately at privacy@deksie.in if you suspect any unauthorised access to your account.
Deksie is not liable for any loss or damage arising from your failure to maintain account security.
4. Use of the Platform
4.1 Permitted Use
Deksie is provided for lawful business purposes related to digital-marketing agency management, including project management, client collaboration, workflow automation, and team coordination.
4.2 Prohibited Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to any part of the platform, other accounts, or our systems.
- Reverse-engineer, decompile, or disassemble any aspect of the platform.
- Upload malicious code, viruses, or any material intended to disrupt the platform.
- Use the platform to store or transmit content that infringes third-party intellectual property rights.
- Resell, sublicense, or redistribute access to the platform without our written consent.
- Use automated tools (bots, scrapers) to access the platform without prior written permission.
5. Content Ownership and Licence
5.1 Your Content
You retain full ownership of all Content you upload, create, or store on Deksie. We do not claim any ownership rights over your Content. By using the platform, you grant Ctrl Zed LLP a limited, non-exclusive licence to host, store, and display your Content solely for the purpose of providing the platform service.
5.2 Our Intellectual Property
The Deksie platform, including its design, features, code, documentation, trademarks, and branding, is owned by Ctrl Zed LLP and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our written consent.
6. Subscriptions and Payments
- Deksie operates on a subscription basis. Pricing, billing cycles, and payment terms are as set out in the subscription plan selected by the Agency.
- All fees are non-refundable unless otherwise stated in your subscription agreement or required by applicable law.
- We reserve the right to modify pricing with at least thirty (30) days' advance notice. Price changes will take effect at the start of the next billing cycle.
- Failure to pay fees when due may result in suspension or termination of your account.
7. Data Protection and Privacy
Your use of Deksie is also governed by our Privacy Policy, which describes how we collect, use, protect, and share your data. By using the platform, you acknowledge that you have read and understood the Privacy Policy.
8. Availability and Support
- We strive to maintain the platform's availability but do not guarantee uninterrupted or error-free operation.
- Scheduled maintenance will be communicated in advance where possible.
- Support is provided through the channels specified in your subscription plan.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Deksie and Ctrl Zed LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
- Our total liability arising out of or in connection with these Terms shall not exceed the total amount paid by you to Deksie in the twelve (12) months immediately preceding the claim.
- We are not liable for any loss or damage resulting from circumstances beyond our reasonable control, including internet service disruptions, third-party service failures, or force majeure events.
10. Indemnification
You agree to indemnify and hold harmless Ctrl Zed LLP, its partners, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the platform, your Content, or your violation of these Terms.
11. Termination
- By You: You may cancel your subscription at any time through the platform settings or by contacting us. Upon cancellation, your access will continue until the end of your current billing period.
- By Us: We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if required by law. We will provide reasonable notice where possible.
- Effect of Termination: Upon termination, you will have thirty (30) days to export your Content. After this period, your data will be permanently deleted in accordance with our Privacy Policy.
12. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and update the effective date at the top of this document. Continued use of the platform after a notified change constitutes acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
